Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Buyer Clarity System ("Company," "we," "our," or "us") governing your access to and use of our visitor identification services, website, and related technologies. By accessing our website, purchasing our services, or deploying our proprietary pixel technology, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree with any provision of these Terms, you must immediately cease all use of our services and website. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" refers to that entity.
Description of Services
Buyer Clarity System provides enterprise-grade visitor identification and identity resolution services designed to help businesses identify anonymous website visitors and convert them into actionable sales and marketing leads. Our services include:
- Proprietary pixel technology that deploys on client websites to collect device and behavioral data for identity resolution purposes
- Comprehensive identity graph comprising over 1,000 verified data sources that enable matching of anonymous visitors to known individuals and companies
- Real-time data enrichment delivering resolved visitor identities with contact information, company details, and behavioral insights
- Daily reporting and analytics through automated reports and dashboard access showing identified visitors and engagement patterns
- CRM and ESP integration capabilities allowing seamless data export to client marketing and sales systems
Our services are provided on a subscription basis with setup fees and monthly recurring charges as specified in your service agreement or checkout process. Service levels, features, and pricing are subject to the plan you select and may be modified with advance notice.
Account Registration and Responsibilities
To access our services, you must create an account by providing accurate, complete, and current information including your name, email address, company name, billing information, and website URL where our pixel will be deployed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You represent and warrant that you have the legal right and authority to deploy our pixel technology on the websites you specify, that you will comply with all applicable laws and regulations in your use of our services, and that you will not use our services for any unlawful or unauthorized purpose.
Acceptable Use Policy
You agree to use our services only for lawful purposes and in accordance with these Terms. Prohibited uses include:
- Deploying our pixel on websites you do not own or control without proper authorization
- Using our services to collect data from children under the age of eighteen
- Engaging in any activity that violates privacy laws including GDPR, CCPA, or CAN-SPAM
- Attempting to reverse engineer, decompile, or extract our proprietary technology or algorithms
- Using our services to harass, abuse, or harm individuals or entities
- Interfering with or disrupting the integrity or performance of our services
Data Ownership and Rights
A fundamental principle of our service model is that you own your data. All resolved visitor identities, contact information, and behavioral data provided to you through our services become your permanent property. You have the right to use, store, export, integrate, and delete your data at any time without restriction.
While you own the resolved data we provide, we retain ownership of our underlying identity graph, data sources, and matching algorithms. We reserve the right to use aggregated, anonymized data derived from our services for analytics and service improvement purposes.
Payment Terms and Billing
Our services are provided on a subscription basis with pricing determined by your selected plan. Standard pricing includes:
- One-time setup fee of $750 covering pixel installation, account configuration, and initial testing
- Monthly subscription fees calculated at $1,500 per pixel per month, with volume discounts available for multiple pixel deployments
Payment is due in advance for each billing period. All fees are non-refundable except as expressly provided in these Terms or required by applicable law. We reserve the right to modify our pricing with thirty days' advance notice to existing clients.
Warranties and Disclaimers
We warrant that our services will be provided in a professional and workmanlike manner consistent with industry standards. This warranty is valid for thirty days from the date of service activation.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant the accuracy, completeness, or reliability of any data provided through our services. Identity resolution is probabilistic and may produce false positives or incomplete results.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYER CLARITY SYSTEM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
Our total aggregate liability to you for all claims shall not exceed the total amount of fees you paid to us in the twelve months preceding the event giving rise to liability.
Dispute Resolution and Arbitration
Before initiating any formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally.
If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
You agree to waive your right to a jury trial and to participate in class actions or class arbitrations.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Denver, Colorado.
Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and sending email notification at least thirty days before the effective date. Your continued use of our services after the effective date constitutes your acceptance of the changes.
